FAS Solutions and Services (OPC) Private Limited is a company engaged in digital solutions and software development, IT and cloud infrastructure, electronics and consumer device trading, IoT and embedded systems, manpower recruitment and staffing, and training and skill-development services. References to "Services" in these Terms mean any of the foregoing, whether accessed through our website or delivered under a separate client engagement.

You may use our website for lawful purposes only. You agree not to:

04Services & Engagements

General descriptions of our Services on this website are for informational purposes and do not, by themselves, constitute a binding offer. The scope, deliverables, timelines, service levels, pricing and specific terms for any engagement — whether for software development, infrastructure deployment, electronics supply, IoT implementation, staffing deployment or training enrolment — will be set out in a separate proposal, purchase order, statement of work or signed agreement ("Engagement Agreement"), which will govern in the event of any conflict with these Terms.

Staffing and recruitment services are provided in compliance with applicable labour laws; the specific rights and obligations between FAS Solutions and Services, the client and any deployed personnel will be set out in the relevant staffing or deployment agreement.

05Intellectual Property

Unless otherwise agreed in an Engagement Agreement, all content on our website — including text, graphics, logos, the FA3S brand mark and underlying software — is owned by or licensed to FAS Solutions and Services and is protected by applicable intellectual property laws. Custom software, designs or deliverables created for a client under a specific engagement will have their ownership and licensing terms defined in that Engagement Agreement.

06User Obligations

Where you submit information to us — through our contact form, during a training enrolment, a recruitment application, or otherwise — you confirm that the information is accurate and that you have the right to provide it. You are responsible for maintaining the confidentiality of any account credentials issued to you in connection with our Services.

07Third-Party Products & Services

Where we supply, resell or integrate third-party hardware, software, electronics or cloud services, those products remain subject to the relevant manufacturer's or vendor's own warranty, licence and support terms. We will pass through such terms where applicable but do not independently warrant products we do not manufacture.

08Payment & Fees

Fees for any Service are as set out in the applicable quotation, invoice or Engagement Agreement. Except as otherwise agreed, invoices are due on the terms stated on the invoice, and late payment may attract interest or suspension of ongoing services, subject to applicable law.

09Confidentiality

Each party may share confidential or proprietary information in the course of an engagement. Both parties agree to protect such information using reasonable care and to use it solely for the purposes of the engagement, subject to any more detailed confidentiality or non-disclosure terms in the applicable Engagement Agreement.

10Disclaimer of Warranties

Except as expressly stated in a signed Engagement Agreement, our website and general service descriptions are provided "as is" and "as available", without warranties of any kind, whether express or implied, including — to the extent permitted by law — warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be uninterrupted, error-free or secure.

11Limitation of Liability

To the maximum extent permitted by applicable law, FAS Solutions and Services shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising out of or relating to your use of our website or general information provided on it. Liability arising from a specific Engagement Agreement will be governed by the limitation of liability terms set out in that agreement.

12Indemnification

You agree to indemnify and hold harmless FAS Solutions and Services, its directors, employees and agents from any claims, damages or expenses (including reasonable legal fees) arising from your misuse of the website, violation of these Terms, or violation of any law or third-party right.

13Termination

We may suspend or terminate your access to the website at our discretion, without notice, where we reasonably believe these Terms have been breached. Termination of a specific service engagement will be governed by the termination provisions in the relevant Engagement Agreement.

14Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to any dispute-resolution or arbitration clause in an applicable Engagement Agreement, the courts at [City, State to be added], India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

15Changes to These Terms
